These Terms and Conditions (this “Agreement”) incorporate by reference our Privacy Policy and any other applicable operating rules, policies, schedules, or other terms and conditions that may be published from time to time (collectively, the “Terms and Conditions”). Our Website, together with any content, functionality, and services offered on or through the Website, and all existing or future updates, enhancements, features, materials, and social media pages, shall be collectively referred to as the “Services.”

By accessing or using the Website or any part of the Services, you agree to be bound by these Terms and Conditions. If you do not agree to all of the terms in this Agreement, you must not access or use the Services.

View or interact with any content, links, or third‑party resources (“Third‑Party Links”) through the Website;
Purchase any Solana blockchain–based cryptographic assets known as “Surfcoin Tokens” (also referred to as “$SURF” or “Tokens”) featured on the Website;
Use any registration forms, contact forms, or other interactive features offered on the Website.
2. Description of Services The Services include, without limitation:
Access to information, content, and media relating to Surfcoin;
Purchase and sale of Surfcoin Tokens on the Solana blockchain;
Community features, newsletters, and other interactive tools.
3. Nature of Tokens Surfcoin Tokens are intended to function solely as digital, collectible cryptographic assets representing participation in the Surfcoin community. They are not intended to be, nor should they be construed as, an investment opportunity, investment contract, security, or any form of financial instrument. Neither the U.S. Securities and Exchange Commission nor any other governmental authority has approved, endorsed, or regulated Surfcoin Tokens or the fairness, suitability, or merits of acquiring them.
4. No Financial or Legal Advice All information provided through the Services, including token descriptions, pricing, and trading instructions, is for general informational purposes only and does not constitute financial, investment, legal, or tax advice. You are solely responsible for your own due diligence and decisions regarding any Token-related transactions.
5. Eligibility and Registration
Minimum Age: The Services are available only to individuals who can enter into legally binding contracts. By using the Services, you represent that you are at least eighteen (18) years old (or the age of majority in your jurisdiction, if greater).
Prohibited Parties: You must not use the Services if you are (a) subject to any economic or trade sanctions or denied‑party lists administered by any governmental authority; (b) located in a jurisdiction where participation in digital asset transactions is prohibited; or (c) a resident of countries subject to comprehensive sanctions (e.g., Cuba, Iran, North Korea, Crimea region).
Device Requirements: You must provide, at your own expense, any hardware, software, internet access, and wallet applications required to access and use the Services (including a Solana-compatible wallet for Tokens).
6. Account Security You are responsible for maintaining the confidentiality of any credentials you use to access the Services. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
7. Risks and Acknowledgments
Blockchain Risk: You acknowledge that blockchain technology and digital tokens are experimental and may be subject to bugs, vulnerabilities, or regulatory changes that could impact their value or availability.
Transaction Finality: All token purchases, transfers, and other transactions on the blockchain are final and irreversible. We are not responsible for any lost or inaccessible Tokens due to private key loss, wallet failure, or blockchain interruptions.
Volatility: Token prices may be extremely volatile. We make no guarantees regarding the future price or liquidity of Surfcoin Tokens.
8. Intellectual Property All content, graphics, logos, trade names, and trademarks appearing on the Website are owned by or licensed to Surfcoin, LLC. You may not use, reproduce, distribute, or create derivative works based on our proprietary content without our express written permission.
9. Prohibited Conduct You agree not to:
Violate any applicable law, regulation, or third‑party right in connection with your use of the Services;
Use automated tools or scripts to access, scrape, or index any portion of the Services;
Interfere with or disrupt the Services or servers or networks connected to them;
Attempt to reverse engineer any portion of the Website or Services;
Provide false or misleading information in any registration or transaction process;

IF APPLICABLE LAW DOES NOT PERMIT SUCH LIMITATIONS, OUR MAXIMUM LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED FIVE HUNDRED U.S. DOLLARS (US$500.00).
12. Indemnification You agree to indemnify and hold Surfcoin, LLC and its affiliates, officers, directors, employees, and agents harmless from any claims, damages, liabilities, losses, or expenses (including attorneys’ fees) arising out of your breach of this Agreement or your use of the Services.
13. Governing Law and Dispute Resolution These Terms and Conditions shall be governed by the laws of the State of Delaware without regard to conflict of law principles. Any dispute arising out of or related to these Terms and Conditions or the Services shall be resolved by binding arbitration under the rules of JAMS, Delaware, or another mutually agreed forum. You may opt out of arbitration within thirty (30) days of first using the Services by sending written notice to [email protected].
14. Miscellaneous
Modifications: We may update these Terms and Conditions at any time by posting revisions on the Website. Your continued use of the Services after such changes constitutes your acceptance of the revised terms.
Severability: If any provision of this Agreement is held invalid, the remaining provisions shall remain in full force and effect.
